AQUILA initiates the merger by absorption process of Parmafood Group Distribution

AQUILA (BVB: AQ) has approved the initiation of the steps required for the merger by absorption of Parmafood Group Distribution, a company acquired in April 2024. The merger represents a natural step in the integration process carried out over the past two years and aims to simplify the legal and administrative structure, while further leveraging the commercial and operational complementarities between the two companies. The merger by absorption concerns exclusively Parmafood Group Distribution.

AQUILA has experience in integrating acquired companies through mergers, having successfully completed similar processes for Seca Distribution in 2019 and Agrirom in 2021. The Group’s approach is tailored to each acquisition, taking into account the respective company’s business model, market positioning and development objectives. Since joining the AQUILA Group, Parmafood Group Distribution has expanded its nationwide commercial presence by strengthening its sales team and developing direct relationships with customers.

The merger process does not affect the Group’s operational activities and is intended to reduce the complexity associated with operating through two separate legal entities, while enabling more efficient management of shared processes and resources. The financial results of the absorbed entity will be fully reflected in the financial statements of AQUILA PART PROD COM S.A. starting from January 1, 2027.
